MODEL CONTRACT
 
SUPERINTENDENT OF SCHOOLS
1. Duties
 
The Superintendent of Schools is the chief executive of the School Committee. In harmony with the policies of the Board of Education, state laws, and state board of education regulations, the Superintendent has executive authority over the school system and the responsibility for its supervision. He/she has the general authority to act at his/her discretion, upon all emergency matters and those as to which his/her powers and duties are not expressly limited or are not particularly set forth. He/she advises the School Committee on policies and plans that the School Committee takes under consideration, and he/she takes the initiative in presenting to the School Committee policy and planning issue for the Committee’s attention.
 
The Superintendent or his/her designee as approved by the Board of Education, shall attend all meetings of the School Committee and shall participate in all School Committee deliberation. The Superintendent shall receive notice of all School Committee meetings and he/she or his/her designee may attend such meetings.
 
2. Administration and Supervision of School District
 
The Superintendent shall have the administrative authority, subject to law, and any legally binding contracts of the School District, to organize, reorganize and arrange the administrative and supervisory staff in such way as in his/her judgment best serves the School District. In addition the Superintendent shall have responsibility for administration of instruction and all business affairs that include the responsibility for selection, placement and transfer of personnel.
 
3. Certification
 
The Superintendent shall furnish and maintain throughout the term of this contract a valid and appropriate certificate qualifying him/her to act as a Superintendent of Schools in the State of Rhode Island.
 
4. Tax-Sheltered Annuity
 
In addition to the salary, the School Committee shall procure and pay directly the full premium for a tax-sheltered annuity policy for the benefit of the Superintendent, the cost or value of which may be described as follows:

The School Committee shall purchase such annuity from the agent, broker or company designated by Superintendent, subject to the restrictions permitted by Federal and/or State Tax Code. The policy shall be the property of Superintendent both before and after separation from employment. It is the intention of the parties that the amounts paid for such tax-sheltered annuity be included in Superintendent's compensation for retirement purposes.
 
5. Professional Growth
 
The Superintendent is encouraged to join those professional organizations and to attend those professional meetings, and conferences and conventions as are appropriate to the Superintendent's professional growth and development.
 
The School Committee expects the Superintendent to engage in these opportunities for professional growth and shall reimburse the Superintendent or pay all reasonable expenses and dues associated with such membership and attendance. Whenever reasonably possible the Superintendent shall seek prior approval of the School Committee to attend such conferences and conventions.
 
6. Annual Vacation
 
a) The Superintendent shall be entitled to twenty-five (25) working days as annual
vacation, exclusive of legal holidays.
b) The Committee agrees and accepts that the Superintendent begins this contract with accumulated vacation time of twenty-five (25) days.
c) Unused vacation time may be accumulated without limit and, at the expiration or
termination of this Agreement, the Superintendent shall receive a sum equal to his/her then in effect per diem rate of pay for any such accumulated vacation leave.
d) The Superintendent shall be entitled to legal holidays.
 
7. Sick Leave
 
The Superintendent shall be entitled to sick leave in an amount equal to, but not in excess of, thirty (30) days of sick leave for each year of this contract and any extensions hereunder. The Superintendent shall be allowed to accumulate unused sick leave without limitation and, at the expiration or termination of this agreement, the Superintendent shall receive a sum equal to his/her then in effect per diem rate of pay for all unused sick leave accumulated.
 
8. Personal Leave
 
The Superintendent shall devote such time and energies as are necessary to perform the duties specified. It is expressly agreed that the duties of this position require the Superintendent to work during times beyond normal business hours.
 
It is understood that from time to time the Superintendent may be required to be absent from the district for purposes of personal business which cannot be conducted at any other time. Such leave shall not be deducted from vacation time or sick leave.
 
The Superintendent shall notify the School Committee Chairperson when such leave is taken.
 
9. Medical Examination
 
The Superintendent hereby agrees to submit to a comprehensive medical examination by a physician chosen by the Superintendent. The Physician's report shall be filed with the Chairperson of the Committee. By signing this agreement, the Superintendent consents to and shall release it for the Committee’s use only and no further disclosure the delivery of the medical report to the Committee and completion of such paperwork as may be necessary to effect the above. The Committee agrees to bear the reasonable cost of the examination.
 
10. Disability Coverage
 
The Committee shall, during the effective period of this contract or extension thereof, pay directly or reimburse the Superintendent for the premium due on disability insurance coverage (90-day waiting period, age 65 cap, 60% of salary limitation). The Superintendent shall apply for and own said policy and shall be entitled to premium payment or reimbursement only if he qualifies for and in fact obtains and maintains such insurance. It is further understood that the Committee's contribution shall be limited during the first year to the true cost of said coverage. If such coverage is provided by the Committee, the Superintendent shall be provided with the option to assure the policy upon termination.
 
11. Evaluation
The Superintendent shall be evaluated from time to time by the Committee utilizing mutually acceptable oral or written procedure and/or instrument. The Committee shall provide a written summary of the evaluation to the Superintendent. Prior to the Committee providing a written summary of the evaluation, a draft version shall be reviewed with the Superintendent.
 
12. Compensation
 
A) Salary
 
1) The Superintendent shall be paid an annual salary, commencing as of the effective date of this Agreement, of per year, payable in equal installments.

2) The salary for subsequent years of this contract shall be negotiated between the School Board and the Superintendent no later than 30 days prior to the anniversary date. The annual salary shall not be reduced below the figures stated above.

3) Adjustments to salary shall be in the form of an amendment and shall become a part of this contract, but shall not be considered new contract with the Superintendent nor that the termination date of the existing contract has been extended.
 
B) Moving Expenses
 
The School Board agrees to pay expenses reasonable incurred in the relocation of the Superintendents household and personal belongings.
 
1) The payment of moving expenses will be made directly to the mover by the School Board. The expenses must be incurred and paid within 12 months of effective date of this contract.

2) The School Board shall reimburse the Superintendent for actual expenses incurred in providing temporary housing accommodations for the Superintendent and his/her family, during the initial move, with said temporary housing arrangements not to exceed days or $ .
 
13. Benefits
 
a) Provided that he/she is not medically disqualified, the Superintendent shall receive term life insurance coverage, with accidental death and dismemberment benefits, in an amount equal to twice the current salary of the Superintendent; premium to be paid by the district.
 
b) The Superintendent shall receive, on a fully-paid basis, such medical and dental insurance coverage as is typically provided for all other administrators within the district. Nevertheless, the Superintendent may elect, on an annual basis, to decline those coverages, in which case the committee shall pay him/her, as additional compensation, an amount equal to fifty percent (50%) of the annual cost of said coverages. The Superintendent must sign a notarized statement signifying withdrawal for the full year which holds the Committee harmless.
 
The Committee agrees that it shall defend, hold harmless and indemnify the Superintendent from any and all demands, claims, suits, actions and legal proceedings brought against the Superintendent in his/her individual capacity, or in his/her official capacity as agent and employee of the committee, provided the incident arose while the Superintendent was acting within the scope of his/her employment and excluding criminal litigation's. The committee shall provide liability insurance with limits not exceeding $1,000,000 per occurrence, to cover legal damage, injury to persons or property resulting from any acts or omissions in his/her official capacity or resulting solely our of his/her employment as Superintendent.
 
d) The Superintendent may be excused for jury duty, with pay, less compensation received for such duty.
 
e) The Superintendent shall be granted a maximum of four (4) consecutive paid days of leave for death in the immediate family (mother, father, mother/father in law, wife, husband, siblings, child, guardian, grandparents, or one who resides in the same household). For other relatives, one day will be granted for the purpose of attending the funeral.
 
f) The Superintendent work year is 224 days exclusive of legal holidays.
 
g) The District will reimburse the Superintendent for all actual and necessary travel and other expenses incurred in the performance of his/her official duties. Mileage reimbursement will be at the rate as established by the Internal Revenue Service regulations for the use of personal vehicle for business purposes.
 
14. Incapacity to Serve
 
Should the Superintendent be unable to perform his/her duties by reason of extended illness, accident, or other cause beyond his control, for a period of more than sixty (60) days beyond expiration of accumulated sick leave during any school year, the School Committee may, at its discretion, make an appropriate deduction from the salary stipend, and if such disability is such as to make the performance of duties impossible, the School Committee may, at its option, terminate the contract. All insurance coverage as stipulated in this contract to continue during any such period of incapacity.
 
15. Term of Agreement
 
This agreement shall be effective from July 1, through June 30, and shall not be altered except by a subsequent writing executed by the parties to this agreement. The parties may, by mutual consent, terminate the contract at any time. The Superintendent shall be entitled to terminate the contract at any time. The Committee may terminate the contract of employment during its term for good and just cause. The Superintendent shall the right to a fair hearing before the Committee to determine if such cause exists and to the right to be represented by legal counsel.
 
16. Renewal
 
This agreement shall automatically be renewed on an annual basis if the School Committee does not notify the Superintendent, in writing, by March 1, of each year of its intent to terminate the agreement.
 
17. Savings Clause
 
If any portion of this Agreement is deemed illegal of unenforceable, the remainder thereof shall remain in full force and effect.
